Terms of Service (Corporate)

These Terms of Service ("Terms") govern your engagement with CodeLadder Technology Solutions for software development and digital services. By engaging our services, you agree to these terms.

1. Services

CodeLadder agrees to provide the services described in the specific Statement of Work (SOW) or Project Proposal agreed upon by both parties.

2. Intellectual Property (IP)

• Client IP: Upon full payment, the Client owns all rights to the custom code and deliverables created specifically for them.
• Background IP: CodeLadder retains ownership of any pre-existing code, libraries, or tools used to build the solution, granting the Client a non-exclusive license to use them.

3. Payment Terms

Payment schedules are defined in the Project Proposal. Typically, payments are milestone-based. Late payments may incur interest or suspension of services.

4. Warranties & Liability

We warrant that our services will be performed in a professional manner. However, we do not guarantee that the software will be error-free or uninterrupted. Our liability is limited to the amount paid for the specific service content.

5. Termination

Either party may terminate the agreement with written notice if the other party breaches material terms.
